Terms and conditions

1. Who you are contracting with
DecixionIQ is provided by DECIXIONIQ (PTY) LTD, a company registered in South Africa, trading as DecixionIQ ("we", "us"). These terms form an agreement between us and the organisation or person using DecixionIQ ("you"). By creating an account or continuing to use DecixionIQ, you agree to these terms. If you accept them for an organisation, you confirm that you have authority to bind it. If you use DecixionIQ as an individual, you confirm that you are at least 18 years old.
2. The service
DecixionIQ is an online platform for governing corporate decisions: recording decisions, evidence, assumptions, alternatives, risks, challenge, authority, approval, execution and outcomes. It includes AI-assisted analysis that produces drafts for people to review. We grant you a limited, non-exclusive, non-transferable right to use DecixionIQ for your internal business purposes within your selected plan.
3. Accounts
- Provide accurate information and keep it up to date.
- Keep sign-in details confidential. You are responsible for activity under your account and your organisation's accounts.
- Administrators decide who joins an organisation and what each member may do.
4. Plans, payment and renewal
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's buyer terms.
Plans renew automatically at the end of each monthly or yearly period until cancelled. Upgrades take effect immediately with a prorated charge; downgrades and cancellations take effect at the end of the period already paid for. Without an active plan, your organisation's records remain available to view but cannot be changed. Prices are shown on our pricing page. Our refund policy gives you 14 days to request a full refund.
5. Acceptable use
You must not misuse DecixionIQ. In particular, you must not:
- use it for anything unlawful, fraudulent, or to send spam;
- upload content that infringes anyone's intellectual property, privacy or other rights;
- interfere with its security or operation — including malware, probing, scanning, scraping, or attempts to bypass access controls or plan limits;
- reverse engineer, resell, sublicense or redistribute it;
- use it to create illegal content, deceptive or impersonating content (including deepfakes), hate speech or harassment, or try to make the AI features ignore their safeguards ("jailbreaking").
6. AI features
- AI output is a draft. It may be incomplete or wrong, and it is not legal, financial, tax or other professional advice. Only authorised people in your organisation can accept AI drafts or approve decisions.
- You are responsible for what you submit, for checking output before relying on it, and for having the rights to the documents and content you upload.
- As between you and us, you own your inputs and the outputs generated for you, subject to the rights of others.
- We may refuse, filter or remove content or output, and restrict or suspend accounts, to keep the service lawful and safe.
- If you believe content on DecixionIQ infringes your rights, tell us (see contact below) and we will review it. Repeated infringement leads to suspension.
7. Your content
You keep ownership of your content. You give us a limited licence to host, process and display it only to provide DecixionIQ to you. Approval history and audit records are kept unchanged by design, so that decisions remain traceable.
8. Our intellectual property
We own DecixionIQ, including its software, documentation, design and branding. These terms do not transfer any of it to you.
9. Service level
We work to keep DecixionIQ available and secure, but we do not guarantee that it will be uninterrupted or error-free. To the fullest extent permitted by law, we exclude all implied warranties, including merchantability and fitness for a particular purpose.
10. Liability
To the extent permitted by law, our total liability is limited to the fees you paid for DecixionIQ in the 12 months before the claim, and we are not liable for indirect, consequential or special loss, including loss of profit, data or goodwill. Nothing limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law. You indemnify us against claims arising from your content, unlawful use, or breach of these terms.
11. Suspension and termination
We may suspend or end access for material breach, non-payment, a security or fraud risk, or repeated or serious breaches of these terms. You may stop using DecixionIQ at any time. When an organisation's access ends, its records remain view-only; ask us if you need an export or deletion.
12. General
These terms are governed by the laws of the Republic of South Africa and disputes fall under the jurisdiction of its courts. You may not assign these terms without our consent; we may assign them as part of a merger or sale of our business. Neither party is responsible for delays caused by events beyond its reasonable control. We may update these terms and will show the date of the latest version above.
